Terms of Service

These Terms of Service ("Terms") are a template drafted to accurately describe how the WhizzMS platform actually works. Fields marked like this are business/legal details (registered company name, address, governing jurisdiction) that must be filled in by WhizzMS's operating entity before this document is relied on as a binding legal agreement. This is not a substitute for review by qualified legal counsel in your jurisdiction.

1. Acceptance of Terms

By creating an account, connecting a data source, or otherwise using WhizzMS (the "Service"), you agree to be bound by these Terms and by our Privacy Policy and Compliance & Security Policy, which are incorporated by reference. If you are agreeing on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, in which case "you" refers to that entity.

2. The Service

WhizzMS is a multi-tenant SaaS platform that lets a business ("Business," "you," or "Tenant") connect its own product catalog or data source, have that data indexed into an AI-searchable vector index, and expose that search either through an embeddable chat widget on the Business's own website or through a headless API the Business's own applications can call directly. Each Business's data, configuration, and search index are logically isolated from every other Business on the platform.

An account may belong to one or more Businesses. Removing a user's access to a Business does not delete that user's account, only their access to that Business's data and configuration.

4. Your Data & Content

"Your Content" means the data you connect to WhizzMS from your own data source (e.g. product catalogs, descriptions, prices, attributes, images, documents), your prompt and chat-widget configuration, and any other material you upload or configure. As between you and WhizzMS:

5. Third-Party AI Providers

WhizzMS does not train or operate its own large language models. To generate embeddings and chat responses, each Business configures an AI provider of its choice - currently OpenAI, Google Gemini, Azure OpenAI, or AWS Bedrock - and supplies its own API credentials for that provider. When your Service processes a search query or a chat message, the relevant portion of Your Content and the end user's query are sent to the AI provider you configured, under your own account and API terms with that provider, not WhizzMS's.

You are responsible for reviewing and complying with your chosen AI provider's own terms of service, acceptable use policy, and data handling practices, and for the costs that provider bills you directly for embedding and completion calls made through the Service. Access to the Service is governed by the subscription plan associated with your account, which may limit the number of Businesses, the number of items indexed, or usage of certain features. Fees are billed in advance on the cycle disclosed at checkout and are non-refundable except as required by law or as we expressly state. Downgrading or exceeding plan limits may restrict indexing of new items or certain features until you upgrade or reduce usage. We may change plan pricing on a going-forward basis with notice before your next renewal.

8. The Chat Widget & End-User Interactions

If you embed the WhizzMS chat widget on your own website, the visitors to your website ("End Users") who interact with it are not WhizzMS customers - you are responsible for your own relationship with your End Users, including obtaining any consent required under applicable law for your website to collect and process their chat messages through WhizzMS and your configured AI provider. You must ensure your own website's privacy notice discloses this to your End Users. See our Privacy Policy for how WhizzMS itself processes End User chat data on your behalf as a processor.

9. Service Availability

We aim to keep the Service available and performant but do not guarantee uninterrupted availability. Scheduled maintenance, upstream AI provider outages, and infrastructure incidents outside our control (Section 12) may cause temporary disruption. Any specific uptime commitment applicable to your plan, if any, is stated in a separate order form or SLA document, not these Terms.

10. Intellectual Property

WhizzMS and its licensors retain all right, title, and interest in the Service itself - its software, platform architecture, prompts, user interface, and documentation - excluding Your Content. Nothing in these Terms transfers any WhizzMS intellectual property to you beyond the limited right to use the Service as described here.

11. Suspension & Termination

You may stop using the Service and close your account at any time. We may suspend or terminate access if you materially breach these Terms (including Section 6), if required by law, or if your account is delinquent on payment after notice. Upon termination, your right to access the Service ends; see the Privacy Policy for how long Your Content is retained afterward before deletion.

12. Disclaimers & Limitation of Liability

The Service, including AI-generated search results and chat responses, is provided "as is." AI-generated content can be inaccurate or incomplete, and outputs grounded in Your Content are only as accurate as Your Content itself and the third-party AI provider you configured - WhizzMS does not guarantee the factual accuracy of any AI-generated response. To the maximum extent permitted by law, WhizzMS disclaims all warranties, express or implied, and will not be liable for indirect, incidental, or consequential damages arising from use of the Service, including decisions made by your End Users based on AI-generated responses.

13. Changes to These Terms

We may update these Terms from time to time. Material changes will be notified through the dashboard or by email to your account's registered address before they take effect. Continuing to use the Service after a change becomes effective constitutes acceptance of the updated Terms.
